Subject: Letter of Intent signed between Allegro sp. z o.o. and InPost sp. z o.o.

The Board of Directors of Allegro.eu (the “Company”) hereby informs that on 18 June 2026, its subsidiary, Allegro sp. z o.o. (“Allegro”) and InPost sp. z o.o. (“InPost”, together “the Parties”), entered into a non-binding Letter of Intent (the “Letter”).

The Letter reflects the Parties’ shared intention to establish a new framework agreement (the “New Agreement”) over the coming months that will govern their cooperation relating to out-of-home delivery services.

The anticipated scope of the New Agreement includes, in particular:
– reduced delivery prices and a revised price indexation formula,
– multi-year volume, capacity and service level arrangements.

The New Agreement, once executed, is expected to supersede the existing agreement and extend to December 31, 2031, providing increased visibility and security for both Parties in their long-term operational and financial planning.

In connection with signing the Letter, the Parties have also agreed to suspend the current ongoing arbitration proceedings for the duration of the negotiations of the New Agreement.

The Letter is a non-binding document that remains subject to the conclusion of the New Agreement.
