

Amendment to the terms of Phase I of the Share Buyback Program for the purpose of share cancellation and reduction of the Company’s share capital – increase of the maximum purchase price to PLN 50
Further to current report no. 26/2026 dated 25 June 2026 announcing the adoption and implementation of the first phase of the open-market share buyback program (“Phase I” or the “Program”), the Board of Directors of Allegro.eu (the “Company”) hereby announces its decision to amend the terms of Phase I by increasing the maximum purchase price per share.
The Board of Directors has resolved to increase the maximum price at which the Company may acquire its own shares under Phase I from the previous limit of PLN 45.00 to PLN 50.00 per share. The new maximum purchase price applies to transactions executed from 21 September 2026.
The new maximum purchase price of PLN 50.00 remains fully within the parameters and limits authorized by Resolution No. 21 of the Annual General Meeting of the Company dated 25 June 2026.
The decision to increase the maximum purchase price under Phase I follows the recent appreciation of the Company’s share price on the Warsaw Stock Exchange, which approached and subsequently exceeded the previous price cap.
All other terms and parameters of Phase I of the Program announced on 25 June 2026 – remain unchanged, i.e.:
1. the purpose of the share buyback: the cancellation of shares and subsequent reduction of the Company’s share capital;
2. the maximum pecuniary amount allocated to Phase I: PLN 800,000,000.00 (excluding brokerage commissions);
3. the maximum number of shares to be acquired under Phase I: 42,105,263 shares (subject to the overall AGM authorisation cap of 84,210,526 shares);
4. duration of Phase I: the programme will end no later than 25 June 2027.
