Subject: Decision regarding changes to the Board of Directors of Allegro.eu and the management board of Allegro sp. z o.o.

Legal basis: Article 17(1) of MAR – inside information.

In connection with current report No. 9/2026 dated 11 March 2026, regarding the commencement of the succession process for the position of the Company’s Chief Financial Officer (CFO), following Jonathan Eastick’s decision to retire from this role for personal reasons, the Board of Directors (the “Board”) of Allegro.eu (the “Company”) hereby reports that, as part of the above succession process, a decision has been taken regarding changes to the composition of the governing bodies of the Company and its key subsidiary, Allegro sp. z o.o.

The Board hereby announces that today:
– The Company has received Jonathan Eastick’s resignation from his position as the executive director and the Chief Financial Officer (CFO) of the Company, with effect from 30 September 2026 at 23:59 CEST;
– Allegro sp. z o.o. has received Jonathan Eastick’s resignation from his position as a member of the management board of Allegro sp. z o.o., with effect from 30 September 2026 at 23:59 CEST;
– Katarzyna Ostap-Tomann has been appointed as the Chief Financial Officer (CFO) of the Company with effect from 1 October 2026;
– Katarzyna Ostap-Tomann has been appointed as a member of the management board of Allegro sp. z o.o. with effect from 1 October 2026;
– The Board has decided to recommend to the shareholders of the Company that the general meeting approves the appointment of Katarzyna Ostap-Tomann as the executive director of the Company with effect as of the date of the general meeting;
– The Board has approved the appointment of Katarzyna Ostap-Tomann as the executive director with effect from the date of the general meeting, subject to her appointment as the executive director of the Company by the general meeting.

Katarzyna Ostap-Tomann brings more than 25 years of leadership experience in corporate finance, financial reporting and capital markets.
She joined Polsat Plus Group in 2009 and, since 2016, has served as Member of the Management Board of Cyfrowy Polsat, leading the Group’s finance function. She has also served on the Management Board of Polkomtel since 2016 and as Vice President since 2022. During her tenure she oversaw the finance organisation of one of Central Europe’s largest media and telecommunications groups, while also leading the Group’s ESG area between 2023 and 2025.

The Board also announces that an agreement has been reached with Jonathan Eastick regarding the termination of cooperation in connection with his resignation from his executive roles at the Company and Allegro sp. z o.o., as referred to above. Jonathan Eastick will remain employed by Allegro sp. z o.o. until 30 April 2027 to ensure a smooth handover of his responsibilities to the new Chief Financial Officer (CFO).
