The board of directors (the “Board”) of the Allegro.eu (the “Company”) resolved to submit to the approval of the forthcoming general meeting of the shareholders of the  Company (the date of which is yet to be scheduled) the appointment of Mr Pedro Arnt as an independent director upon recommendation of the remuneration and nomination committee of the Company (the "Remuneration and Nomination Committee").
Mr Arnt has been identified and nominated by the Remuneration and Nomination Committee as a suitable candidate for appointment by the general meeting of the Company. Mr Arnt will meet the criteria set forth in the WSE Code of Best Practice and the protocol of the Remuneration and Nomination Committee and has expressed his consent to be appointed as an independent director of the Company.
A dual Brazilian and British national, Pedro Arnt has been working for over 20 years in various senior leadership capacities in the consumer internet industry, serving since 2011 as the Chief Financial Officer of MercadoLibre (MELI), one of the largest and most-respected global marketplaces. Since joining in 1999 (the year of MELI’s founding), he has been instrumental in the growth and international expansion of the business.
Over his career, he has held roles in various capacities gaining multi-year experience leading a variety of teams, from early-stage corporate development and marketing, through managing the company’s customer experience operations, continuing as Vice President of Strategic Planning, Treasury & Investor Relations and actively participating in the transition from a private to a public company. Today Mercado Libre has over 30,000 employees and is Latin America’s most popular ecommerce site by number of visitors, having attracted over 300 million registered users.
Prior to joining MercadoLibre, Pedro worked for The Boston Consulting Group in the Buenos Aires and São Paulo offices. He holds a bachelor’s degree, magna cum laude, from Haverford College and a master’s degree from the University of Oxford.
The Board believes that the appointment of Mr Arnt as an independent director would be in the best interests of the Company, being a step towards the announced target of a majority of Board Members being independent.
