Subject: Expected changes in the Board of Directors of Allegro.eu and the Management Board of Allegro sp. z o.o.

The Board of Directors (“Board”) of Allegro.eu (the “Company”, “Allegro”) hereby reports on the following proposed changes in the composition of the management bodies of the Company and its key subsidiary, Allegro sp. z o.o.:

1. On 11 March 2026 Jon Eastick informed the Board of his intention to retire from his executive role at Allegro, including his positions of CFO, Executive Director of Allegro.eu and a Member of the Management Board of Allegro sp. z o.o. At the same time, Mr Eastick declared his full commitment to support an orderly succession. Mr Eastick indicated that he wishes to stand down for personal reasons, after eight years in the role and ahead of his sixtieth birthday, to switch from full-time demanding executive role to a plural career for the last few years of his career prior to retirement. He also stated that Allegro and its direct and indirect subsidiaries (the “Group”) are in a healthy and stable financial position, making 2026 an ideal moment to pass the CFO role to a successor.
2. As part of Mr Eastick’s commitment to supporting a smooth succession process, if his successor is not appointed by the date of upcoming Allegro.eu Annual General Meeting (expected to be held in June 2026), Mr Eastick confirms his agreement to be reappointed as Executive Director for the next one-year term subject to the approval of the shareholders. He intends to remain in all his current roles until the end of April 2027 or until his successor is appointed and assumes office, whichever occurs first. He confirmed that he will continue to discharge all his duties, to ensure uninterrupted operational continuity and to support the recruitment of his successor. Following the handover to his successor he will also remain available to the organization for several months to facilitate a seamless transfer of knowledge and to provide expert support to Allegro’s new CFO.
3. The Company confirms that it is launching an immediate succession process for the position of CFO of Allegro, in which candidates from within the Company as well as external candidates will be considered.
4. Statement from Gary McGann, Chairman of the Board: “On behalf of my Board, I am grateful to Jon for his immense contribution. He has been a key player in supporting Allegro through various phases of its growth. He will leave the Group in a very strong financial position, with financial freedom to support the next exciting growth phase. I am thankful to Jon and I wish him and his family the very best for the future.”
5. The Board also announces that it has received a notification from Mr. David Barker, a Non-executive Director of the Board, regarding his resignation from the Board with effect from the date of the forthcoming annual general meeting. Mr. David Barker has been a member of the Board since 1 September 2020, and previously served on the supervisory boards of Allegro sp. z o.o. and Ceneo.pl sp. z o.o. operating companies since 2017. The Board would like to express its sincere gratitude to Mr. Barker for his significant contribution, expertise, and commitment to the development of the Group during his tenure.
